By accessing or otherwise using this website (Website), you agree to be bound by these Terms and Conditions of Use. You acknowledge that Pixel International (59 674 276 085) provides access to the Website to you subject to these Terms and Conditions of Use.

01 Acceptance of Terms

By engaging Pixel International ("we", "us", or "our") for any service — including but not limited to design, development, strategy, or consulting — you ("the Client") agree to be bound by these Terms and Conditions in their entirety.

If you do not agree with any part of these terms, you must not proceed with engaging our services. These terms constitute a legally binding agreement between you and Pixel International.

02 Our Services

Pixel International provides creative and digital services to businesses and individuals. The specific scope of work for any engagement will be agreed upon in writing prior to commencement, typically via a proposal, statement of work, or signed agreement.

We reserve the right to:

  • Decline any project or client at our sole discretion
  • Subcontract elements of a project to trusted third parties where appropriate
  • Modify or discontinue any service offering with reasonable notice
  • Adjust timelines due to factors outside our reasonable control
  • Any deliverables, timelines, and project milestones will be set out in the relevant project documentation agreed between both parties.

03 Client Obligations

To ensure projects are delivered on time and to the agreed standard, the Client agrees to:

  • Provide all required assets, content, and information in a timely manner
  • Designate an authorised point of contact for approvals and communication
  • Provide clear and consolidated feedback within agreed review periods
  • Ensure all materials supplied to Pixel International are owned by or licensed to the Client
  • Not engage in conduct that is unlawful, offensive, or harmful in connection with our services

Delays caused by the Client's failure to meet these obligations may result in revised timelines or additional fees, which will be communicated in advance.

04 Payment & Fees

All fees are outlined in the project proposal or agreement. Unless otherwise agreed in writing:

  • A deposit (typically 50%) is required before work commences
  • Remaining balances are due upon project completion or as per the agreed payment schedule
  • Invoices are payable within 14 days of issue
  • Late payments may incur interest at 1.5% per month on outstanding amounts
  • All prices are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise

We reserve the right to pause or withhold delivery of work until outstanding payments are received. Pixel International is not liable for any loss caused to the Client as a result of work being withheld due to non-payment.

05 Intellectual Property

Upon receipt of full payment, Pixel International assigns to the Client the agreed intellectual property rights in the final deliverables as specified in the project agreement. Unless otherwise stated:

  • All preliminary work, concepts, and rejected designs remain the property of Pixel International
  • Third-party assets (fonts, stock images, plugins, etc.) are subject to their own licensing terms
  • Pixel International retains the right to display the completed work in our portfolio and marketing materials

The Client warrants that any materials provided to Pixel International do not infringe the intellectual property rights of any third party. The Client indemnifies Pixel International against any claims arising from such infringement.

06 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement ("Confidential Information"). This obligation does not apply to information that:

  • Is or becomes publicly available through no breach of this agreement
  • Was already known to the receiving party prior to disclosure
  • Is required to be disclosed by law or regulation

Confidentiality obligations survive the termination of any engagement for a period of two (2) years.

07 Limitation of Liability

To the fullest extent permitted by applicable law, Pixel International's total liability to the Client for any claim arising out of or in connection with our services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

Pixel International is not liable for:

  • Indirect, consequential, or incidental loss or damage
  • Loss of revenue, profits, data, or business opportunity
  • Errors or omissions resulting from inaccurate information provided by the Client
  • Third-party services, platforms, or tools used in connection with our work

Nothing in these terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under Australian Consumer Law.

08 Termination

Either party may terminate an engagement by providing written notice. In the event of termination:

The Client is liable for all work completed up to the date of termination, billed at the agreed rate or pro-rata

Any deposit paid is non-refundable unless Pixel International is in material breach of the agreement

Pixel International will deliver all completed work upon receipt of outstanding payment

We reserve the right to terminate an engagement immediately, without liability, if the Client engages in unlawful conduct, breaches these terms, or fails to make payment after 30 days' notice.

09 Governing Law

These Terms and Conditions are governed by the laws of Victoria, Australia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Victoria.

Both parties agree to attempt to resolve disputes in good faith before initiating formal legal proceedings.

10 Changes to These Terms

Pixel International reserves the right to update or amend these Terms and Conditions at any time. Updated terms will be published on our website with a revised "Last Updated" date. Continued engagement with our services after such changes constitutes acceptance of the revised terms.
